TO STRATEGICALLY ORIENTED SYSTEM OF CORPORATE GOVERNANCE THROUGH THE EFFECTIVE ACTIVITY OF THE BOARD OF DIRECTORS

Article consecrated problems of activity of a key institution in the system of corporate governance - Board of Directors. One of the important aspects is the fact that at the present time in the practice of corporate governance development in Russia the Board of Directors of the Corporation there is a lack of full powers, which provides representation of the interests of shareholders.The Board of Directors are experts in various industries, mostly not working in the same company, but together decision-makers influencing the activities of the Corporation and applicable to all employees of the Corporation for many years. Proposed implementation in the regular activities of the Board of Directors strategically developed plan for the development of promising areas of the Corporation with the installation of «ideals» which should be achieved by the Corporation. Following is the script to create a real Board of Directors. Recommendations on organization of work of the Board of Directors, effectively influencing strategically oriented system of corporate governance.
